Terms & Conditions

These Terms govern the use of Skill Retain by learners, course creators, administrators, and organizations. They include platform terms, acceptable use rules, content rules, AI rules, refund guidance, and learning integrity standards adapted for an AI-assisted onboarding and training product.

Section 1

Introduction

Thank you for using Skill Retain. Skill Retain provides websites, applications, organization workspaces, course creation tools, learning paths, quizzes, progress tracking, certificates, AI-assisted features, subscriptions, and related support services. By clicking accept, creating an account, joining a workspace, enrolling in a course, or otherwise using the platform, you agree to these Terms and the policies referenced here, including the Privacy Policy. If you use Skill Retain on behalf of an employer, company, school, institution, or other organization, you confirm that you have authority to bind that organization.

Section 2

Who May Use Skill Retain

You may use Skill Retain only if you can enter into a binding agreement, comply with these Terms, comply with all applicable laws, and meet the minimum age required in your country. Unless a separate written agreement says otherwise, users must be at least 16 years old. Certain organizations, courses, industries, or jurisdictions may require higher age limits, additional eligibility checks, internal policies, or course-specific rules. If you do not meet these requirements, you must not use the service.

Section 3

Accounts, Accuracy, and Security

When you create or update an account, you must provide accurate, complete, and current information. Inaccurate information may affect access, certificates, billing, support, security notices, and communication with you. You are responsible for keeping login credentials confidential and for activity under your account. You may not share your password, allow others to access your account, impersonate another person, create misleading accounts, or bypass authentication. Notify us immediately if you suspect unauthorized access or compromise.

Section 4

License to Use the Platform

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Skill Retain for learning, onboarding, training administration, and course creation. Unless permitted by a paid organization plan or separate agreement, you may not resell, sublicense, commercially exploit, scrape, copy, redistribute, or make Skill Retain content available outside the platform. Using Skill Retain does not give you ownership of the platform, software, design, brand, or content made available by Skill Retain or its licensors.

Section 5

Organizations, Administrators, and Enterprise Use

Skill Retain is designed for organization-led training. Administrators may invite users, assign roles, create courses, configure permissions, view learner progress, manage certificates, export data, and control workspace settings. If you join an organization workspace, your organization may access information needed to manage training, including your name, email, role, course enrollment, progress, completion status, quiz performance, certificates, and workspace activity. Separate commercial, data processing, or order form terms may apply between Skill Retain and the organization.

Learning Content and Course Offerings

Skill Retain may host courses, lessons, videos, documents, quizzes, tasks, templates, certificates, learning paths, and other training materials. We may add, remove, suspend, reschedule, update, or modify any content offering, feature, assessment, point value, certificate, or requirement. Skill Retain does not guarantee that completing a course will satisfy legal, regulatory, professional, job, licensing, academic, or employer requirements unless this is expressly stated in a separate written agreement. Learners and organizations are responsible for confirming whether a course meets their needs.

Your Content

You may upload or create content such as courses, lessons, videos, comments, prompts, quiz answers, assignments, files, images, organization settings, and feedback. You retain ownership of your content, subject to rights held by your organization or other rights holders. You grant Skill Retain a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, modify, adapt, and use your content as needed to provide, secure, support, analyze, and improve the service. You confirm that you have the rights and permissions necessary to submit your content and that it does not violate laws or third-party rights.

Feedback

If you send us ideas, comments, requests, suggestions, or other feedback, you allow us to use that feedback without restriction, obligation, or compensation. We may use feedback to improve Skill Retain, develop features, fix issues, and create new products. Providing feedback does not give you ownership of features, designs, workflows, or improvements that we build, even if they are similar to your suggestion.

Section 9

AI-Assisted Features

Skill Retain may use artificial intelligence to support course generation, lesson drafting, quiz creation, summarization, recommendations, search, feedback, analytics, learner support, roleplay, and administrative insights. AI outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for a specific use. You must review and verify AI outputs before publishing, assigning, relying on, or using them for training, compliance, employment, safety, legal, financial, medical, or operational decisions. You must not claim AI-generated content as wholly human-created where that would be misleading or violate your organization's rules.

Section 10

Acceptable Use Policy

You must not use Skill Retain to upload, create, share, or promote illegal content, harassment, credible threats, hate or discriminatory content, sexually exploitative content, malware, spam, misleading impersonation, privacy violations, intellectual property infringement, or content that creates risk of real-world harm. You must not access non-public areas, test security without permission, interfere with networks, overload systems, reverse engineer the service, bypass plan limits, scrape content, harvest data, train competing AI models using platform content without written permission, or encourage others to do any prohibited activity.

Section 11

Learning Integrity and Honor Code

Learners are expected to complete courses, quizzes, assignments, and assessments honestly. Misconduct includes plagiarism, unauthorized collaboration, contract cheating, impersonation, sharing answers, falsifying completion evidence, using unauthorized materials, or using generative AI where a course, organization, or instructor has not permitted it. Organizations and administrators may define additional learning integrity rules. Skill Retain may remove content, invalidate certificates, reset progress, suspend access, notify administrators, or take other corrective action where misconduct is detected or reasonably suspected.

Section 12

Copyright, Trademarks, and Infringement

Skill Retain respects intellectual property rights and expects users to do the same. You may not upload content that you do not have the right to use, copy, adapt, publish, or distribute. This includes copyrighted training materials, videos, brand assets, confidential documents, third-party course content, and AI outputs that infringe another party's rights. If you believe content on Skill Retain infringes your copyright, trademark, or other rights, contact legal@skillretain.com with enough information to identify the work, locate the allegedly infringing material, verify your authority, and allow us to contact you. We may remove or disable access to content and may suspend repeat infringers.

Section 13

Paid Services, Trials, Refunds, and Cancellation

Some features require payment, a subscription, or an organization plan. Prices, billing periods, taxes, plan limits, included features, renewal terms, free trials, and cancellation rules may be shown at checkout, in the subscription page, or in a separate order form. Unless required by law or stated in a separate agreement, payments are non-refundable. If you cancel a subscription, access generally continues until the end of the current paid period and future charges stop. If you are located in the European Union, United Kingdom, or another jurisdiction with mandatory withdrawal or consumer rights, those rights apply as required by law.

Section 14

Third-Party Services and External Content

Skill Retain may integrate with third-party services such as payment processors, email providers, hosting providers, storage providers, analytics tools, identity providers, video services, AI infrastructure providers, support tools, or credentialing services. Third-party services may have their own terms and privacy policies. We are not responsible for third-party websites, tools, content, services, or decisions that we do not control. You should review third-party terms before using integrations or following external links.

Section 15

Disclaimers and Limitation of Liability

To the maximum extent permitted by law, Skill Retain and its content, AI features, analytics, recommendations, certificates, and services are provided on an as-is and as-available basis. We do not guarantee that the service will be uninterrupted, error-free, secure, accurate, or suitable for a particular purpose. To the maximum extent permitted by law, Skill Retain will not be liable for indirect, incidental, special, consequential, punitive, loss-of-profit, loss-of-data, loss-of-goodwill, or similar damages arising from use of the service, inability to use the service, third-party content, unauthorized access, AI output, or user content.

Section 16

Suspension, Termination, Changes, and Export Controls

We may suspend, restrict, or terminate access if you violate these Terms, create security or legal risk, fail to pay fees, misuse the service, infringe rights, or use Skill Retain in a way that may harm users, organizations, Skill Retain, or third parties. We may change, add, remove, suspend, or discontinue features, AI models, content, plans, pricing, or requirements. We may also restrict service availability where required by sanctions, export controls, government restrictions, internet limitations, legal obligations, or commercial risk.

Section 17

General Terms and Contact

We may revise these Terms from time to time. Material changes may be communicated by email, in-product notice, website notice, or another reasonable method. Continued use of Skill Retain after changes become effective means you accept the updated Terms. If a provision is unenforceable, the remaining provisions remain in effect.
